Chaupal Terms and Conditions

Welcome to Chaupal, a multiregional OTT streaming platform operated by Bosna Digital Entertainment Private Limited (the “Company”), having its registered office at Plot No. 161, Industrial Area, Phase II, Chandigarh 160002, India. These Terms and Conditions (“Terms”) form a legal agreement between you (the user, also referred to as “User” or “End User”) and the Company (referred to as “Chaupal,” “we,” “us,” or “our”) and govern your access to and use of the Chaupal website, application, and services (collectively, the “Service”). By accessing, downloading, installing, or using Chaupal, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy (referenced below) and any other policies or guidelines we may provide. If you do not agree with these Terms, please do not use the Chaupal Service.

This document is an electronic record generated by a computer system. It does not require any physical or digital signatures. For the purposes of these Terms, “Content” refers to the movies, web series, live TV, or other audio-visual materials made available on Chaupal, and “Devices” refers to compatible internet-connected devices through which the Service can be accessed (such as smartphones, tablets, smart TVs, or web browsers).

Account Eligibility and Registration

  • Age Requirement: You must be at least 18 years of age (or the age of majority in your jurisdiction, if higher) to create an account and use the Chaupal Service[2]. By registering an account, you represent and warrant that you are 18 or older and legally competent. If you are under 18, you may only use Chaupal under the direct supervision of a parent or legal guardian who is at least 18 and who agrees to be bound by these Terms on your behalf. Chaupal is not intended for children under 18 to use independently, and we reserve the right to ask for proof of age or guardian consent at any stage.
  • Account Registration: To access certain Content or features, you may need to create a Chaupal user account. You agree to provide accurate, current, and complete information during registration and at all other times when you use the Service, and to promptly update any information that changes. You are responsible for maintaining the confidentiality of your account credentials, including your username and password. You should choose a strong, unique password and keep it secure. All activities that occur under your account will be deemed to be done by you, and you are solely responsible for any use or misuse of your account. Do not share your account credentials with anyone outside your household, and notify us immediately at support@chaupal.tv if you suspect any unauthorized access or security breach. We may suspend or terminate your account if we believe it has been compromised or misused.
  • Account Ownership and Responsibility: The individual who created the Chaupal account and whose billing information is on file (the “Account Owner”) is considered the primary authorized user of that account. The Account Owner is responsible for all use of the Chaupal Service under their account, including any use by family members or others in their household. The Service is for personal, non-commercial use only, and account sharing with individuals beyond your household is prohibited. The Account Owner should maintain control over the Devices that access the Service and not reveal the account password or payment details to anyone else. Chaupal will consider all activities on an account as authorized by the Account Owner. If you become aware of any unauthorized use of your account or any other breach of security, you must notify us immediately. In case we suspect that your account is being misused for any commercial activity, distribution of passwords, exceeding average minutes of usage or any other reason, we can immediately terminate your services without refunding any amount to you.
  • Eligibility Declarations: By using Chaupal, you further represent that (a) you are not barred from receiving services under any applicable laws (for example, you are not on any trade or economic sanctions lists such as the U.S. Government’s list of prohibited or restricted parties), and (b) you will use the Service only in a territory where the Service is lawfully available. You are responsible for compliance with all local laws and regulations if you access Chaupal from outside India.

Subscription Plans, Free Access, and Billing

Chaupal may offer both free, ad-supported access and without ad plans in order to accommodate different users.

  • Chaupal may provide certain Content or features for free, supported by advertisements. You understand that the Service will include advertisements and commercials, which may interrupt or appear alongside the Content. The availability of specific Content on the free tier is limited and may change at our discretion. By using the Service, you agree to viewing ads as a condition of access.
  • Chaupal offers various subscription plans (e.g., monthly or annual, and possibly different tiers such as ad-supported or ad-free plans) that provide access to premium Content and features. When you subscribe to a Chaupal subscription plan (“Subscription”), you gain access to additional Content including movies, series, and originals that may not be available on the free tier. Some subscription plans may be ad-supported (with ads included) and others may be ad-free. The specifics of what each plan includes (such as the number of concurrent streams allowed, video quality, or ad experience) will be shown in the plan details at sign-up. We reserve the right to offer promotional plans or bundles in partnership with third parties, or to adjust the Content or feature offerings in each plan at our discretion.
  • You understand and agree that the terms of usage of any plan can be changed at any time without prior information. The providers can ads to an existing plan without ads at any time without prior intimation.
  • Billing and Payment: By starting a paid Subscription, you expressly agree that we are authorized to charge you a subscription fee (plus any applicable taxes) for the billing cycle you select (e.g., monthly or annually) to the payment method you provide. All fees are stated in the currency indicated at purchase and include applicable taxes unless stated otherwise. When you subscribe, you must provide a current, valid, accepted method of payment (e.g., credit card, debit card, digital wallet, or other provided payment method). Your Subscription will auto-renew at the end of each billing period by charging the same payment method on a recurring basis, unless you cancel prior to the next billing date. You authorize Chaupal (or its billing agent) to charge your payment method for the subscription fee on each renewal date until you cancel. If we offer a free trial period, no charge will be made during the trial, but automatic billing will begin at the end of the trial** for the chosen plan unless you cancel before the trial ends.
  • Refunds and Cancellation: All subscription fees are non-refundable, except where required by law. This means that if you cancel your Subscription mid-way through a billing period, you will typically continue to have access to the Service until the end of that period, but you will not receive a prorated refund for the remaining days. To cancel, you can do so at any time through your account settings or by contacting our customer support. Cancellation will take effect from the next billing cycle, and we will stop charging your payment method going forward. In certain cases (for example, if you mistakenly signed up for a longer-term Subscription and immediately cancel or if you are entitled to a cooling-off period by law), we may consider refund requests on a case-by-case basis, but standard policy is that charges are final and non-refundable once a billing cycle starts. If you believe you are entitled to a refund (for instance, due to a serious Service defect or other valid reason), please contact support and we will review your request, although we make no guarantee of refund absent a legal obligation.
  • Changes to Subscription and Fees: Chaupal reserves the right to change our subscription plans or pricing at any time. Any price or plan changes will be communicated to you in advance, and if applicable, will take effect no sooner than the next billing cycle after the notice. If you do not agree to a price change, you may cancel your Subscription before the new price takes effect; otherwise, the new price will be charged to your payment method on your next payment date. We may also add, remove, or modify the Content or features included in a subscription plan. Our ability to provide certain Content is subject to licensing agreements with content providers, which means specific movies or shows may become unavailable or be replaced over time. We do not guarantee the availability of any particular Content in any plan and no adjustments or refunds will be provided due to the removal of Content, so long as the overall service provided is substantially as described.
  • Promotions and Free Trials: Chaupal may offer limited-time promotional offers or free trials for new (or returning) users. Eligibility for free trials is determined by us at our sole discretion, and we may limit eligibility or duration to prevent abuse. For example, we might restrict trials to new users who haven’t been subscribers before, or limit one trial per household. If you are provided a free trial, the length of the trial and any other conditions will be communicated during sign-up. At the end of a free trial, unless you cancel, your Subscription will automatically convert to a paid plan and your provided payment method will be charged for the next cycle. If you do not wish to be charged, you must cancel before the trial period ends. Any benefits of a promotion will only apply for the stated promotional period; after that, normal charges and Terms apply.
  • Advertising in Subscription Plans: Chaupal reserves the right to include advertising or promotional content within the Service, including for paying subscribers. If your subscription plan is ad-supported, you will see advertisements during streaming content or within the app interface. Even on ad-free plans, certain Content may contain promotional messages or product placements, or we may display limited promotions that are not intrusive to your viewing experience (for example, recommendations or banners in-app), as allowed by law. We will strive to honor the ad-free nature of an ad-free plan, but special content (such as live events or channels) might include ads due to rights or technical reasons. By subscribing, you acknowledge and agree that Chaupal may display ads in accordance with your plan and service features. The types and extent of advertising may change over time as we enhance our service and content offerings.
  • Payment Issues: You must use a payment method that you own or are authorized to use. If your payment method fails or if your account is past due, we may suspend your access to the Service until payment is successfully processed. If we do not receive payment on time (e.g., your credit card expires or your bank declines the charge), we will notify you and may retry billing at a later date. We are not responsible for any fees or charges (e.g. international transaction fees, overdraft fees) applied by your bank or payment provider in connection with processing of your payments. Chaupal uses third-party payment processors to handle payment transactions. While we implement reasonable security measures, we are not responsible for the security or performance of third-party payment systems. Any issues with payment processing (such as double charges, payment failures, etc.) may need to be resolved with the third-party processor or your financial institution. We do not store full payment card details on our own systems; such details are handled by our payment providers.
  • Taxes: Subscription fees and other charges may be subject to applicable taxes or duties (such as GST/VAT) based on your billing address or country. Any such taxes will either be included in the price, or added at checkout and indicated on your billing receipt, in accordance with applicable laws. You are responsible for any applicable taxes on your use of Chaupal, other than taxes based on our income.
  • No Refund on Account Deletion: If you choose to delete your Chaupal account or if your account is terminated due to a violation of these Terms, you will not be entitled to a refund for any prepaid period of your Subscription that you did not use[10]. For example, if you paid for a month and then delete your account after 10 days, the remaining 20 days will not be refunded. We urge you to use caution and consider canceling auto-renewal before deleting your account to avoid unintended charges. If you need assistance with account deletion, please contact our support.

License to Use the Service and Content

License Grant: Subject to your compliance with these Terms and your payment of any required fees, Chaupal grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Chaupal Service and stream the Content for your personal, private, non-commercial viewing only. This license is for the sole purpose of allowing you to access and enjoy the Content on Chaupal in accordance with these Terms. Except for this limited license, no right, title, or interest in the Service or Content shall be transferred to you or any user. All rights not expressly granted to you are reserved by Chaupal and its content licensors. You agree that you are only acquiring a streaming/viewing right** and do not own any copy of the content itself.

Permitted Uses: Under this license, you may:

  • Stream Content on Chaupal through our official app or website on compatible Devices.
  • Temporarily download Content on a Chaupal app if a download feature is explicitly provided for offline viewing, and only on permitted devices, in accordance with any limitations we impose (for example, downloaded titles may be limited in number, may expire after a certain time, and may not be available in all regions or on all devices). Such downloaded Content is for offline personal viewing only and must not be copied or transferred to any other device or medium except as allowed by the Chaupal app.
  • Watch Content primarily within the country where you established your account and in other geographic locations where Chaupal offers its Service and has licensed the Content[18]. Content available to you may vary by region and may change over time when you travel or if licensing agreements change. Chaupal uses geo-location technologies to verify your location; attempting to access Content not available in your region (for example, via VPN or proxy) may result in restricted service or termination.

Intellectual Property Rights: All Content on Chaupal (including but not limited to videos, audio, graphics, text, user interfaces, logos, designs, trademarks, and software) is the property of Chaupal or its licensors and is protected by copyright, trademark, trade secret and other intellectual property laws. Chaupal and its licensors retain all rights, title, and interest in and to the Service and Content. Nothing in these Terms shall be construed to transfer any intellectual property rights to you or any third party. In particular, Chaupal, the Chaupal logo, and all related marks and images are trademarks or service marks of the Company (or its affiliates). You are not granted any license or right to use any Chaupal trademark or logo except as expressly permitted in writing. You agree not to remove, alter, or obscure any copyright, trademark, or other proprietary rights notices on any Content you access.

By using Chaupal, you agree to abide by all copyright and intellectual property protections. You may not redistribute, broadcast, publicly perform, or exhibit any Content from Chaupal in any manner not expressly authorized. Any use of the Content outside the scope of the permitted license is strictly prohibited and may result in account termination as well as legal action.

User Conduct and Prohibited Activities

You agree to use the Chaupal Service, including all features and functionalities, in accordance with these Terms and all applicable laws and regulations. Any misuse of the Service is strictly prohibited. To clarify the boundaries of acceptable use, you MUST NOT engage in any of the following activities:

  • Account Sharing Beyond Household: Do not share your account or login credentials with anyone outside of your immediate household. The Content is provided for your personal and non-commercial use only and may not be shared with individuals beyond your household. You also agree not to provide access to the Service to individuals who are not entitled to use it (for example, by streaming content in a public area or by sharing your login with friends or the general public).
  • Unauthorized Copying or Distribution: Do not download, stream-record, reproduce, duplicate, archive, or distribute any Chaupal Content except as expressly permitted by us. You may not copy, upload, publish, republish, transmit, retransmit, or make available any part of the Content to the public (including via any file-sharing, streaming, or torrent platforms) without our prior written consent. This prohibition includes creating any recordings or copies of streams (digital, video, or otherwise), whether by software, extra hardware, or by filming the playback from a screen. You also must not create any derivative works or compilations from the Content.
  • Circumvention of Technological Measures: Do not circumvent, remove, alter, deactivate, degrade, hack, or thwart any digital rights management (DRM), encryption, or security features or other content protections used by the Chaupal Service[22]. This means you cannot attempt to access the Service or Content without authorization, or attempt to disable or bypass any measures we use to control access (such as geographic restrictions, playback restrictions, or device limits).
  • Automated Access and Scraping: Do not use any robot, spider, crawler, scraper, script, or other automated means to access, monitor, extract, or index any part of the Chaupal Service or its Content. You agree not to employ any automated system that sends more request messages to our servers than a human can reasonably produce in the same period. The use of any software or techniques to aggregate, crawl, or mine information from Chaupal is prohibited.
  • Reverse Engineering and Tampering: Do not decompile, reverse engineer, disassemble, or tamper with any software, features, or functionalities of the Chaupal Service[24]. Additionally, you must not insert any malicious code or product, or manipulate the Service in any way that interferes with any user’s experience, security, or proper functioning of the Service. Attempting to modify the Service, or to defeat or overcome any encryption and content protections, or to obtain source code of the platform is strictly forbidden.
  • Harmful Transmissions: Do not upload, post, email, send, or transmit any material (through support channels, feedback, or any possible user communication features on Chaupal) that contains viruses, Trojan horses, worms, spyware, malware, or any other code or computer programs designed to interrupt, destroy, or limit the functionality of any computer software, hardware, or telecommunications equipment. Introducing any malicious or harmful software or doing anything that imposes an unreasonable load on our infrastructure is a violation of these Terms.
  • Commercial or Public Use: Do not use Chaupal or its Content for any commercial purpose or for public performances. For example, you cannot charge admission for others to watch Chaupal Content, nor can you show Content in a commercial environment like a bar, restaurant, club, theater, or any public venue without explicit licensing from us. The Service is licensed only for private, in-home (or personal device) use. Any commercial exhibition or use of the Content is a breach of these Terms and may also violate copyright laws.
  • Unlawful or Abusive Activity: Do not use the Chaupal Service for any unlawful, offensive, or abusive purpose. This includes (but is not limited to) refraining from harassing, threatening, or defaming others, refraining from hate speech or any content that is racist, sexist, obscene, or otherwise objectionable, and not encouraging or facilitating anyone else’s violation of law or these Terms. You also agree not to engage in any behavior that is fraudulent (such as using stolen credit cards), infringing of others’ rights, or that otherwise interferes with or disrupts the Service or servers.
  • Third-Party Content and Links: You should not introduce or share any content on Chaupal (if the Service allows user-generated content such as comments or posts in future) that you do not have rights to share, or that violates any third party’s intellectual property or privacy rights. Furthermore, do not use the Chaupal platform to advertise or promote third-party services without authorization. If the Service provides any links to third-party websites or content, you must not use automated means to access those, and note that our policies do not apply to third-party sites (see “Third-Party Services” below for more).

Chaupal reserves the right to monitor usage of the Service for compliance (while respecting our Privacy Policy). If we detect any violations of the above rules or any other aspect of these Terms, we may take appropriate action, which can include immediate termination or suspension of your account without notice, and potential legal action or referral to law enforcement if applicable. We may also implement technology or other measures to enforce these rules (for example, limiting the number of devices that can stream simultaneously under your account, or using watermarking/fingerprinting in streams to detect illicit recording).

By adhering to the above, you help us maintain a fair and safe streaming environment for all users. Any attempt to engage in the prohibited activities is considered a material breach of these Terms.

Content Availability and Modifications to Service

  • Content Availability: Chaupal strives to provide a diverse range of regional and global content (including Punjabi, Haryanvi, Bhojpuri, and other language films and series) to users around the world. However, we do not guarantee that any particular Content will be available on the Service at any given time or forever. Content that is available in one country may not be available in another (due to licensing restrictions), and Content may change from time to time even in the same region[19]. For example, certain movies or shows might become unavailable if our rights to that Content expire or are terminated by the content provider. We reserve the right, at any time and without prior notice, to add, remove, interrupt, or modify any Content available on Chaupal. This includes changing the lineup of content offerings, such as removing a title, adding new titles, or altering the availability window for any given piece of Content. We may also blackout or restrict access to certain Content in our discretion (for example, if required by law, if the content is deemed sensitive or objectionable, or during specific events) . While we aim to inform users of major content expirations or changes where possible, such changes may occur without specific notice.
  • Service Changes and Features: Chaupal is continuously evolving, and we may change, update, or discontinue certain features or parts of the Service at our discretion. We may deploy updates, bug fixes, and patches to improve performance or security. We reserve the right to modify or discontinue the Service (in whole or in part) with respect to any of its features, platforms (for example, if we stop supporting a certain device or operating system), or Content libraries. We may also introduce new features or impose limits on certain features or restrict access to parts or all of the Service. For instance, we might limit the maximum number of devices that can be registered to your account or streaming simultaneously based on your plan (as indicated in your plan details), or we may enforce quality limitations (like streaming resolution) on certain plans. Chaupal shall not be liable to you or any third party if we exercise these rights to modify or discontinue elements of the Service. We will endeavor to give notice for significant changes when feasible (such as in-app notifications or emails for substantial service changes), but this may not always be possible.
  • Advertisements and Promotions: As noted under Subscription Plans, advertisements may be displayed on the Service. This can include ads before or during content playback (pre-roll, mid-roll, post-roll ads) or banners and promotional content within the Chaupal app/website interface. The frequency, placement, and extent of advertising on Chaupal are subject to change. We may personalize advertising based on information we have about you, in accordance with our Privacy Policy. We reserve the right to display sponsor messages, promotions, or other informational messages to you as part of the Service. If you are a paid subscriber on an ad-free plan, we will not show traditional ads during content, but you may still encounter promotions for our own content or limited sponsorship messages, and some live or special events may include ads that cannot be removed due to third-party rights. By using Chaupal, you agree that advertising content may be integrated into the Service experience and, unless you have subscribed to a plan that explicitly promises an ad-free experience, you will not be able to skip or avoid such advertising through illegitimate means.
  • Quality and Technical Requirements: Chaupal does not guarantee any specific quality of streaming (such as resolution or audio quality) on your Device. The quality of playback may depend on a variety of factors, including your internet bandwidth and speed, your location, the device capabilities, and the plan you’ve subscribed to. To receive high-definition (HD) or ultra HD content, you must have a plan that includes it, a device that supports it, and sufficient internet bandwidth. You are responsible for any internet access or mobile data charges you incur when using Chaupal. The time it takes to begin streaming a title will vary based on your internet environment and device. We may provide guidelines in our help center for optimal streaming (for example, recommended speeds for HD or 4K content).
  • Service Interruptions: While we endeavor to keep Chaupal operational at all times, the Service may be occasionally interrupted or unavailable due to maintenance, upgrades, network issues, or unforeseen outages. We do not guarantee that the Service or any Content will always be error-free, uninterrupted, or available at any particular time. Additionally, Chaupal is not liable for interruptions or failures of service caused by factors outside of our reasonable control, such as an internet service provider outage, power failure, server downtime, war, acts of government, natural disasters, or other Force Majeure Events. If a Force Majeure Event occurs that affects Chaupal’s ability to provide services, we will attempt to restore service as soon as reasonably possible.
  • Device and Software Compatibility: Using Chaupal may require compatible devices and certain software (which may need periodic updates). The performance of Chaupal can vary by device. In some cases, we may require you to update the Chaupal application on your device to continue using the Service (for example, if we release a security update and you don’t update the app, the Service might become inaccessible until you do so). It is your responsibility to maintain the compatible device, software, and operating system needed to access Chaupal. We may publish a list of supported devices/platforms, and this list can change over time as technology evolves. Chaupal shall not be responsible if the Service becomes inaccessible because you have failed to update your software or device, or if your device is no longer supported. Likewise, we cannot be responsible for issues arising from device manufacturer software bugs or platform changes (for example, if a particular smart TV firmware has a bug affecting playback).
  • Third-Party Services and Links: To enrich content offerings or user experience, Chaupal might integrate or provide links to third-party services (such as third-party apps, advertising networks, social media, or external websites for purchasing movie tickets, merchandise, etc.). Any third-party content or service that can be accessed via Chaupal is not under our control, and we are not responsible for the availability, accuracy, or legality of such external resources. For instance, if an advertisement on Chaupal links to a third-party website, any transactions you undertake there are solely between you and that third party. Inclusion of a link or integration of a third-party service is for convenience and does not imply endorsement by Chaupal. Use of third-party services may be governed by those third parties’ terms and privacy policies, and we encourage you to review them. Chaupal disclaims all liability for content, products, or services of third parties.

By using the Service, you acknowledge that the Content and Service features are dynamic and may change, and you agree that Chaupal shall not be liable for any modification, suspension, or discontinuation of Content, features, or the Service as described in this section. We appreciate feedback from users, but ultimately, decisions on Content availability and service functionality will be made by Chaupal in line with business and contractual considerations.

Termination and Suspension of Accounts

  • Termination by User: You have the right to stop using Chaupal and/or terminate your account at any time. You may delete your Chaupal account by following the procedures in the app/website or by contacting us at support@chaupal.tv for assistance. Termination of your account will be effective once processed by us. If you terminate your account, or simply uninstall our app or stop using the Service without formally canceling, please note that no refunds will be provided for any remaining subscription period (see Subscription and Billing above). After account deletion, you will lose access to any Content or features accessible through your account (including any preferences, watch history, or offline content previously downloaded). Because account termination is irreversible, we advise that you cancel any ongoing subscriptions (to prevent further billing) before deleting your account. Also note that simply deleting the app from your device does not terminate your account or cancel subscriptions—you must follow the proper steps as described.
  • Suspension or Termination by Chaupal: Chaupal reserves the right to suspend or terminate your account or access to the Service at our sole discretion, with or without notice, if we reasonably believe: (a) you have violated any of these Terms or any applicable law; (b) you are engaged in illegal or fraudulent use of the Service; (c) you are using the Service in a manner that could cause harm or risk to Chaupal, other users, or third parties (for example, conducting piracy or sharing content unlawfully); (d) you have provided false, outdated, or incomplete information during account creation or billing; or (e) for other reasons including prolonged inactivity of a free account, or due to requests by law enforcement or government agencies. In some cases, we may suspend your account (for example, place it on “hold”) rather than terminate outright, to investigate suspected misconduct or to resolve an ongoing issue (such as a payment dispute or identity verification). During suspension, you will lose access to the Service until the matter is resolved. If your account is terminated by us due to a breach of these Terms or illegal conduct, you will not be entitled to any refunds for subscriptions already paid. We may also bar you from creating a new account in such cases.
  • Effect of Termination: Upon any termination of your account, whether by you or by us, your right to access the Chaupal Service will immediately cease. You must stop using the Service, and you will not be authorized to access your account or the Content. Any licenses granted to you under these Terms will terminate. However, any provisions of these Terms that by their nature should survive termination (such as intellectual property rights, disclaimers, limitation of liability, indemnity, governing law, etc.) will survive. If an account is terminated, either by you or by us, we may permanently delete your user data associated with the account, in accordance with our Privacy Policy (subject to any legal retention requirements). We are not obligated to provide you or anyone else the data associated with a terminated account, although we may do so if required by law or our Privacy Policy.
  • Reactivation: If your account was terminated by Chaupal and you believe this was in error or you have rectified any issues, you may contact our customer support or Grievance Officer (contact information provided below) to request reconsideration. We will review such requests at our discretion and may decide to restore access if circumstances warrant. This is not a guarantee of reinstatement; we have full discretion in maintaining platform integrity.

Remember: Unauthorized use of Chaupal (such as piracy, hacking, or sharing content in violation of these Terms) not only results in account termination but may also lead to legal action against you (civil or criminal) under applicable laws (such as copyright laws, the Information Technology Act, etc.). Chaupal cooperates with law enforcement and rights-holders in investigating such cases.

Privacy and Data Use

Your privacy is important to us. Our practices concerning the collection, use, and disclosure of user information (including personal data) are described in our Chaupal Privacy Policy, which is hereby incorporated into these Terms by reference. Chaupal is provided on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by law, we disclaim any and all warranties of any kind, express or implied, in relation to the Service. This includes, but is not limited to:

  • No Warranty of Content: We do not warrant that the Content on Chaupal is complete, accurate, reliable, or up-to-date. While we strive to curate and present high-quality content, Chaupal makes no guarantees about the availability, quality, or suitability of any Content for any purpose. Viewer discretion is advised for content that may not be appropriate for all audiences; we may provide age ratings or content warnings where possible, but we are not responsible if any Content offends or surprises you.
  • Service Uptime and Quality: We do not guarantee that the Chaupal Service will be uninterrupted, timely, secure, or error-free. We do not guarantee that you will be able to access the Service at all times or at any particular time, or that the Service will meet your expectations or requirements. Chaupal is not responsible for any viewing disruptions such as buffering, latency, or playback errors, which can arise from various factors including internet issues or device limitations. You acknowledge that use of the Service is at your own risk regarding satisfaction with the quality and performance of the Service.
  • Implied Warranties: All implied warranties or conditions (including any implied warranty of merchantability, fitness for a particular purpose, title, and non-infringement) are disclaimed. We do not warrant that the Service will function on your device or operating system, that it will be compatible with all hardware or that any errors in the Service will be corrected. We provide no guarantee that the Service is free of harmful components (such as viruses), although we take reasonable measures to secure our platform.
  • Third-Party Content and Services: We specifically disclaim any responsibility for services, information, or products that you obtain through advertisements or third-party links on Chaupal. Any dealings with third-party advertisers or other providers found on or through the Service are solely between you and such parties. Chaupal does not warrant or endorse any third-party product or service advertised on the platform.
  • No Guarantee of Results: We make no representation or warranty that your use of the Service will achieve any particular results or outcomes. For example, we do not promise any particular level of personal satisfaction or any business benefit if you use Chaupal for commercial insights. The Service is for entertainment purposes, and your enjoyment is subjective; we cannot guarantee that any particular Content will meet your personal taste or that recommendations will always be accurate.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In such cases, any implied warranties are limited to the minimum duration and extent permitted by applicable law. Nothing in these Terms is intended to exclude or restrict any warranty or liability that cannot be excluded by law (for example, certain consumer rights under law may apply to you and are not waived). This disclaimer of warranties is a fundamental part of our agreement and understanding with you.

Limitation of Liability

To the extent permitted by applicable law, Chaupal (Bosna Digital Entertainment Pvt. Ltd.), its directors, officers, employees, partners, licensors, and agents shall not be liable to you for any indirect, incidental, consequential, special, punitive, or exemplary damages that may arise out of or in connection with your use of (or inability to use) the Service. This includes, without limitation, any damages for loss of profits, loss of data, loss of goodwill, business interruption, device damage, or other intangible losses, even if we have been advised of the possibility of such damages.

In particular, and without limiting the scope of this section, Chaupal will not be liable for:

  • Any loss or damage caused by factors outside our control, including any unauthorized access to or use of our servers or your account (for example, as a result of hacking or theft of your credentials), any bugs, viruses, or harmful code transmitted to or through the Service by a third party, or downtime of the Service.
  • Any errors or omissions in any Content, including mistakes or inaccuracies (e.g., metadata, descriptions, subtitles) or any consequences of your reliance on Content.
  • Any content that is defamatory, offensive, or illegal that may be encountered during use of the Service, whether originating from other users (if any user-posted content exists on the platform) or external sources. We do not endorse any opinions expressed by third parties on Chaupal, and any decisions or actions you take based on information or content on the Service are at your sole risk.
  • Personal injuries or property damage arising from your access to or use of the Service (to the extent not caused by our gross negligence or willful misconduct).

If, notwithstanding the above, Chaupal is found liable to you for any damage or loss arising out of or related to your use of the Service, our total aggregate liability shall in no event exceed the amount of the subscription fees (if any) that you have paid to Chaupal in the twelve (12) months immediately prior to the event giving rise to such claim. If you have not paid any fees (for example, if you only use the free service), our total liability to you shall not exceed a sum of Indian Rupee ₹100 (or equivalent in your local currency) as a token maximum liability. These limitations apply to any theory of liability, whether based on warranty, contract, statute, tort (including negligence), or any other legal theory, and whether or not Chaupal has been informed of the possibility of such damage.

Exceptions: Nothing in these Terms shall limit or exclude our liability for: (a) death or personal injury caused by our gross negligence or willful misconduct; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be limited or excluded under applicable law. Additionally, some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may not fully apply to you. In such cases, our liability will be limited to the greatest extent permitted by law.

You acknowledge and agree that the limitations of liability above are agreed allocations of risk and are reflected in the fees (if any) that we charge for the Service, and that these limitations will apply even if any limited remedy fails of its essential purpose.

Indemnification

You agree to indemnify, defend, and hold harmless Chaupal (Bosna Digital Entertainment Private Limited), its parent company, affiliates, subsidiaries, and their respective officers, directors, employees, partners, agents, licensors, and representatives (the “Indemnified Parties”) from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees and costs) that arise out of or relate to (a) your use or misuse of the Chaupal Service, (b) your violation of these Terms, or (c) your violation of any law or the rights of any third party (for example, your infringement of someone’s intellectual property or privacy rights, or engaging in defamation via the platform).

This means you will defend the Indemnified Parties against any claim or suit brought by a third party alleging that you did something, through Chaupal or in using the Service, that violates law or the third party’s rights, and you will pay any damages or costs awarded by a court (or agreed in a settlement) that are attributable to such claim. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (at your expense), and you agree not to settle any such matter without the prior written consent of Chaupal. You agree to cooperate as fully as reasonably required in the defense of any claim.

This indemnification obligation will survive the termination of your Chaupal account or cessation of use of the Service.

Example: If you were to use Chaupal to publicly screen a movie in violation of these Terms and a content owner sues Chaupal for your unauthorized distribution, you would be responsible for indemnifying Chaupal for that claim. Likewise, if you post any content (e.g., a comment) that causes a legal dispute, you agree to cover Chaupal’s costs if we face a claim due to your action.

Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or relating to the Service shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. The rights and obligations of the parties under these Terms shall not be governed by the U.N. Convention on Contracts for the International Sale of Goods, and the application of that convention is expressly excluded.

In the event of any controversy or dispute between you and Chaupal arising out of or in connection with your use of the Service or these Terms, the parties shall attempt, promptly and in good faith, to resolve any such dispute. You agree first to contact our Grievance Officer at the email provided below to discuss and attempt to resolve the dispute informally. We value our users and will try to address your concerns without the need for formal legal action. If we are unable to reach an informal resolution within a reasonable time, the following terms shall apply:

  • Jurisdiction: You agree that the courts of Chandigarh, India shall have exclusive jurisdiction to adjudicate any dispute arising out of or relating to these Terms or your use of Chaupal. You expressly consent to the personal jurisdiction of and venue in the appropriate courts located in Chandigarh, Union Territory of Chandigarh, India. If you are a consumer residing outside India and local law grants you the right to bring disputes in your local courts notwithstanding this agreement, this governing law and jurisdiction clause does not limit any such rights you might have under mandatory local laws.
  • Injunctive Relief: Notwithstanding the above, Chaupal may seek injunctive or other equitable relief in any jurisdiction if necessary to protect its intellectual property or proprietary interests. For example, if you misuse Chaupal in a way that violates our intellectual property rights or those of our licensors, we may seek an injunction in any competent court to stop that misuse.
  • Legal Compliance: You and Chaupal agree to comply with all applicable laws regarding the sending of notices or handling of disputes. This includes compliance with Indian IT Act requirements for sending legal notices electronically if applicable, and any statutory dispute resolution mechanisms that cannot be waived.
  • Alternative Dispute Resolution: At this time, Chaupal does not require mandatory arbitration or any specific alternative dispute resolution process. However, if both parties agree, we may attempt to resolve disputes through mediation or arbitration under mutually agreeable rules (for example, the Arbitration and Conciliation Act, 1996 of India) in Chandigarh. Any such process would require explicit agreement by both you and Chaupal after the dispute has arisen.
  • Time Limit on Claims: To the extent permitted by law, any claim or cause of action arising out of your use of the Service or these Terms must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred. (This does not apply to consumers in jurisdictions that prohibit such time limits.)

Miscellaneous Provisions

  • Changes to Terms: Chaupal may update or revise these Terms from time to time. If we make material changes, we will notify you by email (to the email address registered with your account) or by prominent notice within the Service, or via other appropriate means. Your continued use of the Service after the effective date of the updated Terms will constitute your acceptance of the changes. If you do not agree to the revised Terms, you should stop using the Service and, if applicable, cancel your subscription. It is your responsibility to review these Terms periodically for any changes. We will update the “Last Updated” date at the end of this document whenever we make a change. (For reference, Netflix’s policy is to notify users at least 30 days before changes; Chaupal will strive to give reasonable advance notice of major changes in a similar manner.)
  • Entire Agreement: These Terms (along with the Privacy Policy and any additional terms to which you agree when using specific features or promotions, which are hereby incorporated by reference) constitute the entire agreement between you and Chaupal regarding the Service and supersede all prior or contemporaneous understandings regarding such subject matter. Any additional or different terms proposed by you (for example, in any communication) are hereby objected to and will not bind us unless expressly agreed to in writing by an authorized representative of Chaupal.
  • Severability: If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions of these Terms shall continue in full force and effect. The invalid or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, unless such modification fundamentally changes the intent of the provision, in which case it shall be severed from these Terms.
  • No Waiver: No failure or delay by Chaupal in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy, nor shall any single or partial exercise of any right, power, or remedy preclude any further exercise of that or any other right, power, or remedy. Any waiver must be in writing and signed by an authorized representative of Chaupal to be effective. The rights and remedies provided to Chaupal in these Terms are cumulative and not exclusive of any other rights or remedies which Chaupal may have at law or in equity.
  • Assignment: Chaupal may assign or transfer its rights and obligations under these Terms (in whole or in part) to any third party at its discretion, including in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law. You may not assign, transfer, or sublicense any or all of your rights or obligations under these Terms without our prior written consent. Any purported assignment by you in violation of this section is void. These Terms will inure to the benefit of and be binding upon each of the parties and their respective successors and permitted assigns.
  • No Partnership: You agree that no joint venture, partnership, employment, or agency relationship exists between you and Chaupal as a result of your use of the Service or these Terms. You are using the Service as an independent party only.
  • Third-Party Beneficiaries: Except as expressly provided in these Terms, there are no third-party beneficiaries to these Terms. Notwithstanding the foregoing, you acknowledge that if you access the Chaupal app via an app store (such as Apple App Store or Google Play), the store provider may be a third-party beneficiary to certain provisions of these Terms as applicable to their rights (for example, Apple and Google may have the right to enforce certain terms as third-party beneficiaries due to distribution agreements). All such third-party beneficiaries are identified in the respective app store terms and conditions.
  • Notices: We may send you notices, including those regarding changes to these Terms or other important Service-related communications, by email (to the address associated with your account), through the Service (e.g., notifications in the app), or by posting to our website. Notices will be deemed given on the date the communication is sent or posted. If you need to give notice to us, you must do so by email to our support or by physical mail to our registered office address (provided at the beginning of these Terms), unless we provide a more specific channel for certain communications (e.g., a legal notice address).
  • Grievance Officer and Customer Support: In compliance with the applicable laws (such as India’s Information Technology rules), Chaupal has appointed a Grievance Officer for addressing user complaints and concerns.   • Consumer Rights: If you are a consumer, you may have certain legal rights in your jurisdiction that are not waived by these Terms. These Terms are intended to comply with all applicable consumer protection laws. In the event of any conflict between these Terms and mandatory consumer laws, the mandatory laws will prevail to the extent of the conflict.
  • Language: These Terms may be provided in English and in other languages for convenience. The English version of these Terms shall govern in the event of any conflict or ambiguity between English and any translated version. All communications with respect to the Service shall be in English, unless we explicitly provide support in another language.

Content Release Related

The platform and the company from time to time announce dates on which they expect to release new titles including but not limited to movies, web series, TV shows, documentaries or any other kind of content. Such information is passed on to users through sections on the app, website and / or through social media channels that the company owns / operates. The company and the platform is in no way liable to adhere to the exact release dates that it announces. These dates are shared on a best knows basis based on the availability of content and information with the company. These dates can change or an upcoming release can be canceled altogether without any prior information or updates to the users. While the company makes its best efforts to make sure it true to the content announced and the dates on which it announces the releases, there is no guarantee of any kind that the content will release on that date or release altogether. In case a user purchases a subscription based on an announced release, the company is not liable to give any compensation to that user in case the content does not release on the expected date. Numerous technical and non-technical reasons affect release dates and content availability.
